1. Introduction
These Terms and Conditions (“Terms”) govern the use of this website and all services provided under the business name TP23 Advisory (“TP23”, “we”, “our”, “us”).

Business Structure:

• TP23 is a business and trading name owned by Sleep Wellness Institute Pty Ltd (ABN 42 680 457 998).
• TP23 is also traded under Infinity Solutions Pty Ltd (ABN 96 095 691 615), which ordinarily acts as the contracting and invoicing entity.
• References in these Terms to “TP23” or “TP23 Advisory” include Sleep Wellness Institute Pty Ltd, Infinity Solutions Pty Ltd, and their authorised representatives.

By accessing or using our website or engaging our services, you agree to be bound by these Terms.

2. Services
TP23 Advisory provides consulting, advisory, workshops, programs, and related services (“Services”). All engagements are tailored to client needs and subject to a written proposal, agreement, or retainer.

3. Australian Consumer Law (ACL)
Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Competition and Consumer Act 2010 (Cth) or other applicable laws.

4. Payment Terms

• Services are ordinarily invoiced by Infinity Solutions Pty Ltd, unless otherwise agreed in writing.
• Fees are specified in written proposals or invoices.
• Unless otherwise stated, payment is due within 14 days of invoice.
• Late payments may attract interest at the prevailing commercial rate.

5. Intellectual Property
All frameworks, tools, resources, and materials provided by TP23 remain our intellectual property unless otherwise agreed in writing. Clients are granted a limited licence to use materials for internal business purposes only.

6. General Advice Disclaimer
TP23 Advisory provides strategic and leadership advisory services. Any information, insights, or recommendations we provide are general in natureand do not constitute financial, legal, or other professional advice. While we aim to deliver high-quality insights and frameworks, we do not guarantee specific business outcomes such as revenue growth, profitability, or market share improvements. Clients should consider independent advice before making significant business, financial, or legal decisions.

7. Limitation of Liability
To the extent permitted by law, TP23 Advisory (including Sleep Wellness Institute Pty Ltd and Infinity Solutions Pty Ltd) is not liable for any indirect, incidental, or consequential loss arising from the use of our Services. Our liability is limited to the resupply of the Services or the refund of fees paid.

8. Confidentiality
We respect the confidentiality of client information and require the same in return. Any information shared during an engagement will not be disclosed without consent, except as required by law.

9. Governing Law
These Terms are governed by the laws of New South Wales, Australia. Disputes will be subject to the exclusive jurisdiction of the courts of New South Wales.
